By agreeing to these Terms, you represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

You may not use our Services for any illegal or unauthorized purpose, nor may you violate any applicable laws in connection with your use of the Services.

We reserve the right, but are not obligated, to:

• Restrict, suspend, or terminate your access to all or any part of the Site or Services
• Change, suspend, or discontinue all or any part of our products, Services, or Site
• Refuse, move, restrict, or remove content available through the Site
• Deactivate or delete accounts as permitted by these Terms

When you create an account with us, you become a registered user or “member.” You may be required to provide information including your name, email address, username, password, and other information necessary to provide the Services.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

If anyone knowingly provides false, inaccurate, misleading, or incomplete information, Join Rise may suspend or terminate the applicable account and refuse current or future use of the Services.

You agree not to use the Services to:

• Upload, post, email, transmit, or otherwise make available unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, hateful, or otherwise objectionable content
• Harm or exploit minors
• Impersonate another person or entity or misrepresent your identity or affiliation
• Upload or transmit content you do not have a legal right to use or disclose
• Upload or transmit content that infringes patents, copyrights, trademarks, trade secrets, privacy rights, or other intellectual property or proprietary rights
• Transmit spam, junk mail, unauthorized advertising, or other unsolicited communications
• Upload or transmit viruses, malware, malicious code, or other harmful technology
• Disrupt or interfere with the Site, Services, servers, systems, or networks
• Violate applicable local, state, federal, national, or international laws or regulations
• Provide prohibited support or resources to terrorist organizations
• Stalk, threaten, or harass another individual
• Collect, scrape, or improperly obtain personal information about others
• Attempt to gain unauthorized access to any account, system, network, or data

You represent and warrant that:

• You are not identified on any applicable U.S. government prohibited or restricted-party list
• You are not located in or ordinarily resident in a jurisdiction subject to applicable U.S. trade sanctions that prohibit your use of the Services
• You will not unlawfully transfer software, technology, information, or data obtained through the Services to prohibited persons, entities, or jurisdictions
• You will not use the Services in violation of applicable export control or sanctions laws

Join Rise does not claim ownership of content that you submit through the Services unless otherwise expressly stated.

However, to the extent necessary to operate, provide, maintain, improve, or administer the Services, you grant Join Rise a worldwide, royalty-free, non-exclusive license to host, store, reproduce, process, transmit, and otherwise use content you submit in accordance with these Terms and our Privacy Policy.

You represent that you have all necessary rights and permissions to submit any content you provide through the Services.

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless JM Join Rise LLC and its subsidiaries, affiliates, officers, directors, employees, contractors, partners, agents, and licensors from claims, liabilities, losses, damages, expenses, and costs, including reasonable attorneys’ fees, arising from or related to:

• Content you submit
• Your use or misuse of the Site or Services
• Your violation of these Terms
• Your violation of applicable law
• Your infringement or violation of another person’s rights

Unless expressly authorized by Join Rise in writing, you agree not to reproduce, duplicate, copy, sell, trade, resell, exploit, or otherwise commercially use any portion of the Join Rise Site or Services.

Join Rise may modify, suspend, alter, or discontinue any aspect of the Site or Services at any time, subject to applicable law.

To the fullest extent permitted by law, Join Rise will not be liable for any modification, suspension, or discontinuation of the Site or Services.

You may request cancellation or closure of your account by contacting hello@joinrisemeds.com.

Join Rise may suspend or terminate your account or access to the Services where reasonably appropriate, including due to:

• Breach of these Terms
• Legal, regulatory, or governmental requests
• Fraud, abuse, or security concerns
• Extended inactivity
• Nonpayment of applicable fees
• Conduct that may create risk or liability for Join Rise or third parties

Termination of your Join Rise account does not necessarily cancel or otherwise affect healthcare services already provided or prescriptions already processed by independent healthcare providers or pharmacies.

The Site or Services may contain links to websites, services, or resources operated by third parties.

Join Rise does not control and is not responsible for the availability, accuracy, content, products, services, advertising, security, privacy practices, or other materials available through third-party websites or services.

Your use of third-party websites and services is at your own risk and may be governed by separate terms and privacy policies.

The Site, Services, software, designs, graphics, interfaces, text, content, trademarks, trade names, logos, and other proprietary materials associated with Join Rise are protected by applicable intellectual property laws.

Except where expressly permitted, you may not:

• Copy or reproduce proprietary materials
• Modify or create derivative works
• Reverse engineer or attempt to extract source code
• Distribute or publicly display protected materials
• Sell, sublicense, transfer, or commercially exploit protected materials

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

JOIN RISE DOES NOT WARRANT THAT:

• THE SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• RESULTS OBTAINED THROUGH THE SERVICES WILL ALWAYS BE ACCURATE OR RELIABLE
• ALL ERRORS OR DEFECTS WILL BE CORRECTED
• THE SITE OR SERVICES WILL MEET EVERY USER’S REQUIREMENTS

YOUR USE OF AND RELIANCE ON THE SITE AND SERVICES IS AT YOUR OWN RISK.

Nothing in this Section is intended to disclaim warranties or rights that cannot legally be disclaimed under applicable law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Join Rise LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES.

This includes, where permitted by law, damages resulting from:

• Inability to access or use the Services
• Procurement of substitute goods or services
• Unauthorized access to or alteration of information
• Loss of profits, revenue, goodwill, business opportunities, or data
• Third-party conduct
• Personal or business losses resulting from use of the Services

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

To the fullest extent permitted by applicable law, you release Join Rise LLC and its affiliates, officers, employees, agents, contractors, and partners from claims, demands, damages, and liabilities arising from disputes between you and third parties in connection with your use of the Services.

Join Rise may provide notices and communications through:

• Email
• SMS/text messaging
• Regular mail
• Patient portal notifications
• Website postings
• Other electronic communications permitted by law

You agree that electronic notices may satisfy applicable requirements that communications be provided in writing, to the extent permitted by law.

All Join Rise trademarks, trade names, service marks, logos, Site content, software, and other proprietary materials remain the property of Join Rise LLC or their respective licensors.

If you believe material available through the Site infringes your copyright, your notice should include:

• An electronic or physical signature of the authorized person
• Identification of the copyrighted work
• Identification and location of the allegedly infringing material
• Your contact information
• A statement of your good-faith belief that the disputed use is unauthorized
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner

These Terms, together with any policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Join Rise LLC concerning your use of the Site and Services, except where another written agreement expressly applies.

These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles.

Subject to applicable law, disputes arising out of or relating to these Terms or the Services will be brought in an appropriate state court located in Flathead County, Montana, or an applicable federal court located in the State of Montana.

Failure by Join Rise to enforce any provision of these Terms will not constitute a waiver of that provision or any other right.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

User accounts are personal and may not be transferred or assigned without authorization from Join Rise.

To the extent applicable, an account may terminate upon the account holder’s death, subject to applicable legal, healthcare, medical-record, and estate requirements.

To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim arose.

Where applicable law prohibits shortening a statutory limitations period, the legally required limitations period will apply.

We may preserve, access, use, or disclose information where we reasonably believe doing so is necessary or appropriate to:

• Comply with applicable laws or regulations
• Respond to valid subpoenas, warrants, court orders, or other lawful governmental requests

• Investigate fraud, security incidents, or unlawful conduct
• Protect the rights, property, health, or safety of Join Rise, our users, or others

Any handling of health information will remain subject to applicable healthcare privacy requirements.

The Site and Services are operated for users in the United States.

If you access the Site from outside the United States, you are responsible for determining and complying with applicable local laws.

Availability of the Site does not represent that Join Rise’s healthcare-related Services, medications, providers, or pharmacies are available or authorized in every jurisdiction.

Information available through the Site may occasionally contain typographical errors, inaccuracies, omissions, or outdated information.

We reserve the right to correct errors, inaccuracies, and omissions and to update or modify information as appropriate without prior notice, subject to applicable law.

Your registration information, personal information, and other data collected through the Services are handled in accordance with the Join Rise LLC Privacy Policy, as updated from time to time.

Our Privacy Policy is incorporated into these Terms by reference.

Join Rise is not a substitute for emergency medical care.

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR SEEK IMMEDIATE EMERGENCY MEDICAL ATTENTION.

Information available through the Join Rise Site is provided for general informational purposes and should not independently be relied upon as medical advice, diagnosis, or treatment.

The availability of information regarding a medication, treatment, or healthcare service does not mean that a particular treatment is appropriate, medically necessary, or available for you.

Eligibility for treatment and all prescribing decisions are determined by appropriately licensed healthcare professionals based on their independent professional judgment.

Submission of a questionnaire, completion of checkout, or payment does not guarantee that a prescription will be issued.

Join Rise LLC partners with or facilitates access to independent third-party pharmacies and independent licensed healthcare providers or medical groups.

Depending on the applicable service, these independent parties may:

• Review medical questionnaires and health information
• Conduct consultations or other clinical evaluations
• Determine treatment eligibility
• Make prescribing and dosage decisions
• Issue prescriptions where medically appropriate
• Dispense prescription medications
• Package and ship medications
• Provide treatment-related clinical support

Join Rise LLC does not itself practice medicine, does not independently make prescribing decisions, and does not operate a pharmacy.

All medical decisions, including whether a prescription is appropriate, are made by independent licensed healthcare professionals exercising their independent clinical judgment.

All prescription medications are dispensed and shipped by appropriately licensed third-party pharmacies.

Join Rise does not guarantee that any healthcare provider will prescribe a particular medication or treatment.

By using the Services, you acknowledge and agree that certain healthcare and pharmacy services are provided by independent third parties and may be subject to additional terms, consent forms, notices, and privacy practices.

This Section describes how Join Rise LLC uses SMS/text message communications and your rights regarding those communications.

Certain features of the Services may utilize PayPal or related PayPal services, including payment processing, affiliate payouts, and account authentication.

By using PayPal-enabled features, you agree to comply with applicable PayPal terms, policies, requirements, and eligibility standards.

Payments and payouts processed through PayPal are subject to PayPal’s applicable terms, privacy practices, dispute procedures, and account requirements.

To the fullest extent permitted by law, Join Rise is not responsible for delays, holds, limitations, account restrictions, payment disputes, or other actions independently taken by PayPal.

Users connecting a PayPal account represent that they are authorized to use the applicable account and that information submitted in connection with that account is accurate and current.
